WFW advises Axpo on sale of 66 MW Italian wind project to Edison

Watson Farley & Williams (“WFW”) has advised Axpo Services AG (“Axpo”) on the sale of a 66 MW onshore Italian wind farm to Edison Rinnovabili S.p.A. (“Edison”).

The wind farm, which is located in Bisaccia in the southern Campania region, is fully operational and benefits from the relevant feed-in tariffs regime. It consists of 22 wind turbines and can produce an average of 100 MWh of electricity per year. This plant joins the other 10 plants that Edison has in Campania, with a total capacity of around 300 MW.

Active in 30+ countries worldwide, Axpo is Switzerland’s largest producer of renewable energy and an international leader in energy trading and the marketing of solar and wind power. Edison is a leading energy company in Italy and Europe, operating  in the supply, production and sale of electric power and gas and in  energy and environmental services.

The WFW Italy Energy team that advised Axpo on all corporate and matters regarding the sale of the wind assets was led by Italy Head and Partner Eugenio Tranchino and Counsel Luca Sfrecola, assisted by Senior Associates Cristina Betti and Associate Sonia Basso. Partner Tiziana Manenti advised on the due diligence process, assisted by Senior Associate Anthony Bellacci, Associate Antimo Nersita and Trainee Maria Concetta Molica.

Axpo’s inhouse counsel team was led Head of Strategy Filippo Di Benedetto and Legal & Compliance Director Stefano Brogelli.

Edison’s legal team was led by inhouse lawyer Laura Buzzi, with Paolo Percivalle and Vincenzo Di Ferdinando.

Mazars was the lead financial advisor to Axpo, also providing tax due diligence advice.  The Mazars Energy, Infrastructure and Environment team was led by the partner Ben Morris, and by the directors Irena Karasamani and Guy Laufer. Mazars tax team was led by Giovanni Crenna e Floriano Mascolo.

Edison was advised by Gatti Pavesi Bianchi Ludovici with a team led by Partner Stefano Valerio.
